Welcome to Valoris Report, a product of Aquinas Industries ("Company," "we," "us," or "our"). By accessing or using our website, application, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Service Description

Valoris Report is a software-as-a-service platform that helps real estate professionals create Comparative Market Analysis (CMA) reports. Users upload comparable sales data, and our AI-powered system selects relevant comparables, calculates adjustments, and generates professional PDF reports for client presentation.

2. User Accounts

To use the Service, you must create an account by providing accurate, current information including your name and email address. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or are using the Service in a manner that is harmful to other users or to us.

3. Free Trial & Subscriptions

New accounts receive a limited free trial of 2 CMA reports at no cost and with no credit card required. Beyond the free trial, access to the Service requires a paid subscription.

We offer multiple subscription tiers (Starter, Pro, and Teams), each with different monthly CMA limits and feature sets as described on our pricing page. Subscription details, including CMA limits and pricing, are subject to change with reasonable notice.

4. Payment Terms

Subscriptions are billed on a recurring monthly basis. Payment is processed through Stripe, a third-party payment processor. By subscribing, you authorize us to charge your payment method on file for each billing cycle.

All fees are quoted and charged in U.S. dollars (USD). You are responsible for any applicable taxes. Prices may change with at least 30 days' notice before the next billing cycle.

5. Refund Policy

All paid subscriptions include a 30-day money-back guarantee. If you are unsatisfied with the Service within the first 30 days of your initial subscription purchase, contact us at macantubusiness@gmail.com for a full refund.

After the 30-day period, subscription fees are non-refundable. You may cancel your subscription at any time through the billing portal; your access will continue until the end of the current billing period.

7. Intellectual Property

The Service, including its design, features, code, AI models, and documentation, is owned by Aquinas Industries and is protected by copyright, trademark, and other intellectual property laws.

Your content: You retain ownership of all data and content you upload to the Service (property data, MLS exports, photos, branding, etc.). By uploading content, you grant us a limited, non-exclusive license to use it solely for the purpose of providing the Service to you.

Generated reports: CMA reports generated by the Service are licensed to you for your professional use. You may share reports with your clients and colleagues as part of your real estate business.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

CMA reports are informational tools, not appraisals. AI-generated valuations, adjustments, and market narratives are estimates based on the comparable data you provide. They should not be used as a substitute for a licensed appraisal. You are responsible for reviewing all generated content for accuracy before presenting it to clients.

We do not guarantee uninterrupted or error-free access to the Service, nor do we guarantee the accuracy of any AI-generated analysis.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Aquinas Industries and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Aquinas Industries and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
